Forming a Non-Profit

Forming a nonprofit tax exempt entity, such as a 501c3 organization, involves several steps.  Through our attorney services, your organization can complete all of these steps quickly and easily.  We will provide you not only with the documents themselves, but with legal advice on how the documents can be used by your organization to advance your mission and goals in the non-profit sector.

 Our services include:

Filing Articles of Incorporation:  We file the Articles of Incorporation with the State of California, drafting the Articles to meet your organization’s specific needs, both now and in the future.

Appointing the Board of Directors:  We will draft documents for you to appoint your organization’s first Board of Directors.  For more information on the importance of your Board of Directors, see our free Basic Planning Guide for a 501c3.

Drafting Meeting Minutes for the First Meeting of the Board of Directors:  After incorporation, your Board will meet for the first time to begin its corporate duties.

Securing an Employer Identification Number:  We will file the necessary form to ensure your organization receives a Federal EIN.  Most banks will require this number before opening accounts for your organization.

Filing for Federal Tax Exemption:  We will work with you on drafting the lengthy 1023 application to make sure that your mission, goals, and programs are accurately represented.  Our firm will submit the application on your behalf and respond to any follow-up inquiries from the IRS.

Filing for State Tax Exemption:  After drafting the Federal exemption application, our firm will draft and submit the exemption from California income taxes.

Throughout this process, our firm will be available to answer your questions via phone or email, provide you with legal advice, and help ensure that your nonprofit organization formulates its vision and programs in a manner that will benefit your target community.
